Terms and Conditions
1. About us
These Terms govern sales of stock packaging and bespoke packaging services by Pack Exact Ltd (“we/us/our”) to business and consumer customers (“you/your”). By placing an order, you agree to these Terms.
2. Definitions
- Stock Goods: standard catalogue products available for next day or standard delivery.
- Bespoke Goods: custom-made items (e.g., printed boxes, custom tape, labels, retail packaging) produced to your specification.
- Contract: your order accepted by us in writing (including email) or via our website checkout confirmation.
3. Orders & acceptance
- Orders are subject to availability/feasibility. We may refuse or cancel and refund if necessary.
- Bespoke orders require a signed/approved quotation and (where applicable) artwork proof approval.
- You are responsible for ensuring specifications, quantities, delivery addresses and deadlines are accurate.
4. Prices, VAT & quotations
- Prices are in GBP, exclusive of VAT and shipping unless stated otherwise.
- Quotations are typically valid for 30 days unless otherwise noted and may vary with raw material, exchange, or labour costs.
- Promotions/discounts may have additional terms.
5. Payment terms
- Online card payments: taken at checkout for stock orders.
- Trade accounts (subject to approval): typically 30 days EOM. We may conduct credit checks and set/alter limits.
- Late payments: we may charge interest and recovery costs under the Late Payment of Commercial Debts (Interest) Act 1998; suspend deliveries; and/or revoke credit.
6. Delivery
- Indicative lead times: Next Day (marked products ordered by 12:00pm); standard 3–5 working days; bespoke per quote (often 10–20 working days from artwork sign-off).
- Highlands & Islands: reduced service (longer transit times).
- Risk passes on delivery. Title transfers on receipt of cleared funds in full (including shipping, VAT and any charges).
- We may part-deliver/part-invoice. Delivery dates are estimates; time is not of the essence.
7. Inspection & shortages
- Please inspect on delivery. Report damage/shortage within 48 hours with photos and delivery note reference.
- Claims after this period may be rejected if investigation is not possible.
8. Returns & cancellations
- Stock Goods: returnable within 28 days if unused and in resaleable condition (original packaging). Restocking fee may apply (up to 20%). Return carriage at customer’s cost unless faulty.
- Bespoke Goods: non-cancellable and non-returnable once artwork approved/production commenced, except for manufacturing defects against agreed spec.
9. Bespoke production: proofs, tolerances & colour
- Artwork & proofs: you must review and approve proofs/dielines. We are not responsible for errors approved by you.
- Manufacturing tolerances (typical): dimensions ±2–5 mm; board grade per industry norm; print register ±1–2 mm; colour variation within commercial tolerance (including substrate influence: kraft vs white); quantity variance ±10% (invoiced accordingly) unless otherwise agreed.
- Materials: E/B/BC flute boards, papers, adhesives and inks will be chosen to meet your performance/brand goals per the quote.
10. Samples & approvals
- White/printed samples or press proofs can be supplied (fees may apply). Production begins after written sign-off.
11. Warranties & liability
- We warrant Goods conform to the agreed specification at dispatch.
- Except as required by law, all other warranties are excluded. Our total liability arising out of the Contract shall not exceed the price paid for the Goods in question.
- We are not liable for indirect or consequential loss (e.g., loss of profit, business interruption, reputational damage), or for delays outside our reasonable control.
- Nothing limits or excludes liability for death/personal injury caused by negligence, fraud, or any liability that cannot be excluded by law.
12. Force majeure
We are not liable for delays/failures caused by events beyond our reasonable control (e.g., supply shortages, transport failures, strikes, extreme weather, governmental actions). We will notify you and take reasonable steps to minimise impact.
13. Intellectual property
- You confirm you own or have permission to use any artwork, logos or designs you supply and you indemnify us against third-party IP claims arising from your materials.
- Our templates, dielines, processes and site content remain our IP unless otherwise assigned in writing.
14. Compliance & environment
- We aim to source responsibly (e.g., FSC® options) and support recyclability. Final recyclability depends on local facilities and how packaging is used.
- Where Extended Producer Responsibility (EPR) applies, you are responsible for obligations as the “producer” for your packaged products unless otherwise agreed in writing.
- You are responsible for ensuring packaging specifications meet applicable regulations for your products (e.g., food contact, labelling, sector standards) unless expressly included in our scope.
15. Trade accounts & stock holding
- We may offer stock holding/call-off and multi-site delivery by agreement. Storage/handling fees may apply.
- We may adjust credit limits or require pro-forma where risk changes.
16. Website use & account security
- Keep your login details secure and notify us immediately of suspected misuse.
- We may suspend accounts for suspected fraud, misuse or breach of these Terms.
17. Governing law & jurisdiction
These Terms are governed by the laws of England and Wales. The courts of England and Wales shall have exclusive jurisdiction.
18. Changes to Terms
We may update these Terms from time to time. The version in force at the time of your order will apply to that Contract. The current version is available on our website.
